placement fee and guarantee agreement

1. Engagement

Client engages Element Partners, LLC to provide recruiting consulting and talent acquisition support services under the terms outlined in this Agreement.

2. Scope of Services

Recruiter will provide recruiting consulting services which may include, but are not limited to:

  • Candidate sourcing and outreach

  • Initial screening and qualification

  • Presentation of qualified candidates

  • Compensation and market advisory support

  • Interview coordination and feedback facilitation

Final hiring decisions remain solely with the Client. This engagement is advisory and consultative in nature and does not guarantee a hire.

3. Responsibility

Element Partners, LLC will serve as the primary recruiter for this engagement and may utilize additional team members as needed to efficiently deliver services. Work will be assigned to individuals with appropriate experience to ensure quality and value.

4. Fees

Professional services will be billed on an hourly basis based on the level of the position being supported:

  • Administrative & Support-Level Positions (e.g., Title Clerks, AP/AR, Billing, Office Support):
    $175 per hour

  • Professional & Leadership-Level Positions (e.g., Controllers, CFOs, Accounting Managers, Fixed Ops Leadership, Executive Roles):
    $400 per hour

Rates reflect the scope, complexity, and seniority of the search, including market research, candidate sourcing, screening, vetting, and advisory services. The Recruiter may utilize team members with appropriate experience to efficiently deliver services while remaining mindful of overall cost.

The Recruiter will confirm the applicable hourly rate with the Client at the outset of each search engagement.

5. Retainer

Client agrees to pay an initial retainer of $2,500.00, due upon execution of this Agreement. The retainer will be applied against invoices for services rendered. Any unused portion will be refunded upon termination of the engagement. Recruiter may request additional reasonable retainers if necessary.

6. Invoicing & Payment

Recruiter will issue monthly invoices detailing services performed, personnel involved, hours billed, and amounts due. Payment is due upon receipt. Retainer payments may be made online via Recruiter’s payment portal or by check payable to Element Partners, LLC.

7. Candidate Ownership

Any candidate introduced to Client by Recruiter shall be deemed Recruiter’s candidate for a period of twelve (12) months from the date of introduction.

8. Placement Fees

This Agreement does not include a placement or success-based fee unless separately agreed to in writing. Should Client hire a candidate introduced by Recruiter, any placement fee will be governed by a separate written agreement.

9. Confidentiality

Both parties agree to maintain the confidentiality of all non-public business information, candidate information, compensation data, and proprietary processes disclosed during the course of this engagement.

10. Independent Contractor

Recruiter is an independent contractor and is not an employee, partner, or agent of Client.

11. Termination

Either party may terminate this Agreement with fourteen (14) days written notice. Client remains responsible for fees incurred through the termination date.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Texas.
